REFERRAL PROGRAM TERMS AND CONDITIONS

The following terms and conditions (“Terms”) govern your participation in Brello’s (throughout these Terms, Brello may sometimes referred to as “we” or “our”) Referral Program. Please read them carefully.

Brello’s Referral Program offers new customers (“Referrers”) the opportunity to receive rewards by sharing a personal referral link and referring friends, family members, and/or colleagues (“Friends”) who purchase products through our Platform (www.brellohealth.com). These Terms govern participation in the Referral Program and supplement Brello’s Terms of Use available at https://www.brellohealth.com/terms-and-condition. Information processed and used as part of the Referral Program will be used in accordance with Brello’s Privacy Policy, available at https://www.brellohealth.com/privacy-policy.

Program Eligibility

The Referral Program is open to individual persons that are legal residents of the United States and eighteen (18) years or older, and who joined Brello after March 5, 2026. Entities, organizations, or groups of any kind are not eligible to participate in the Referral Program. Use of multiple accounts, email addresses, online identities to circumvent eligibility requirements or other limitations included in these Terms is prohibited and may result in exclusion from the Referral Program and cancellation of any related rewards.

How the Referral Program Works

Eligible Referrers may share their personal referral link with Friends to create an account with Brello. Once an account is created and the Friend completes a purchase on the Platform of $25.00 or more (the “Minimum Purchase”), the Referrer will receive a $25.00 discount off of their next purchase made through the Platform (the “Reward”). Upon verification, the Reward will be automatically added to the Referrer’s Brello account. Referrers may only receive one (1) Reward per Friend, irrespective of whether the Friend completes additional purchases beyond the Minimum Purchase. To receive multiple Rewards, a Referrer must refer multiple Friends making the Minimum Purchase. In the event a Friend receives personal referral links from multiple Referrers, only the Referrer whose personal referral link is actually used to complete the Minimum Purchase is eligible to receive a Reward.

Limitations on Certain Referrals

Referrers are limited to ten (10) referrals per calendar year. Referrers cannot use alternate email addresses, account credentials, aliases, or other identifiers to refer themselves to Brello. In addition, Referrers cannot refer someone else in their household to earn a Reward, and purchases made by Friends who share Referrer’s email address, IP address, billing address, or shipping information will not qualify for Rewards.

Restrictions

By participating in the Referral Program, Referrers agree and acknowledge that the following restrictions shall apply to their participation in the Referral Program and sharing of personal referral links. Brello reserves the right to deactivate any personal referral links shared in violation of these Terms, as determined by Brello in our sole discretion.

  1. Disclosures and Consent – Each time a Referrer shares a personal referral link, the Referrer agrees to disclose to their Friend that Referrer will receive the Reward from Brello if the Friend uses the personal referral link and completes the Minimum Purchase. Referrer must obtain consent to share their personal referral link prior to sharing it with a Friend.
  2. Use of Social Media and Other Platforms to Share Personal Referral Links – Referrer is prohibited from posting or promoting the personal referral link on social media pages, commercial websites, blogs, or any other website in attempt to capitalize on user traffic or otherwise generate referrals, as determined by Brello in our sole discretion. In addition, Referrer may not use any system, artificial intelligence, or other devices to share personal referral links with the general public. Referrers agree that any sharing of personal referral links shall occur only between Referrer and their personal connections and in a personal manner that is appropriate and customary for communications with friends, family, and/or colleagues.
  3. Compliance with Law. Referrers agree to comply with all applicable laws, rules, and regulations applicable to the Referral Program, including, without limitation, those laws governing the transmission of email or other electronic communications and the sharing of personal referral links. Referrers may not infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene, or outside the intent of the Referral Program, as determined by Brello in our sole discretion. Any emails or other communications generated in connection with the Referral Program must be created and shared by Referrer in a personal manner. Referrer may not send bulk email communications, nor may Referrer use any script, program, bot, automatic daler, artificial intelligence, or other automated system to share a personal referral link with a mass audience or the general public. Referrer agrees and acknowledges that sharing a personal referral link outside of a personal connection and in a personal manner, or in any manner that could constitute unsolicited commercial email or “spam” under applicable laws or regulations is expressly prohibited. Referrer may not pay to advertise a personal referral link, nor may Referrer pay or provide anything of value to any third party to receive Rewards through the Referral Program.
  4. Offensive Conduct – Referrer agrees to shall not share a personal referral link in connection with any content or conduct that is offensive or inappropriate. Without limiting the generality of the foregoing, offensive or inappropriate content or conduct shall include all forms of pornography, obscenity, indecent language, and any content or conduct that incites hate, is demeaning, disparages or harms the goodwill, reputation, or Brello brand, or incites or endorses discrimination in any form.

Rewards

Once a Friend completes the Minimum Purchase, and subject to Referrer’s compliance with these Terms, the Reward will be issued to the Referrer’s Brello account. The Reward shall automatically be applied to Referrer’s next purchase through Brello. Rewards shall expire one (1) year from issuance. Brello makes no representation as to the tax consequences that may result from receipt of the Reward, and Referrer shall retain sole responsibility for any tax implications resulting from Referrer’s receipt of the Reward.

In the event that Brello determines, in its sole discretion, that a personal referral link was shared in violation of these Terms, Brello reserves the right to refuse to issue the Reward to Referrer. All decisions regarding issuance of the Reward by Brello will be treated as final.

Modification and Termination

Brello, in its sole discretion, may modify or terminate the Referral Program and/or these Terms at any time, with or without notice, and for any reason or no reason at all. In the event we modify these Terms, we will update the Terms on our website, with such updated Terms becoming effective upon posting. Continued participation in the Referral Program following modifications to these Terms shall constitute Referrer’s consent to any modifications.

In addition, Brello, in its sole discretion, may suspend and/or terminate a Referrer’s ability to participate in the Referral Program for any reason. Brello may review and investigate any referrals and, if Brello determines that Referrer has violated any of Brello’s Terms of Use, these Terms, or any applicable law, rule, or regulation while participating in the Referral Program, terminate or suspend Referrer’s participation.

Assignment

Referrer may not assign any of its rights or obligations under these Terms to any third party without the express written consent of Brello, and any attempts to assign Referrer’s rights or obligations shall be null and void.

Severability

If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
